Terms and Conditions

1. Definitions

“Company” refers to Elvara Trading B.V., the supplier of used mobile phones.

“Customer” refers to any business entity purchasing goods from Elvara Trading B.V.

“Goods” refers to the used mobile phones and related accessories provided.

“Contract” refers to the agreement formed between Elvara Trading B.V. and the Customer upon acceptance of an order.

2. Application of Terms

2.1 These Terms apply to all wholesale transactions for used mobile phones and supersede any other terms proposed by the Customer.
2.2 By placing an order with Elvara Trading B.V., the Customer agrees to be bound by these Terms.

3. Orders and Acceptance

3.1 All orders must be placed in writing via email or through an authorised sales channel.
3.2 Elvara Trading B.V. reserves the right to accept or reject any order. A Contract is only formed once an official invoice or order confirmation is issued.
3.3 All orders are subject to availability.

4. Product Grading and Condition

4.1 Goods are sold as used and tested, graded under standard categories: Pristine, Excellent, Good, Fair, or Faulty (if applicable).
4.2 Grading definitions are supplied prior to purchase and are consistent across all sales.
4.3 Devices are data-wiped, network-unlocked (unless stated otherwise), and functional unless sold as “faulty” or “spares & repairs”.

5. Pricing and Payment

5.1 All prices are quoted in GBP or EUR, excluding VAT, unless stated otherwise.
5.2 Payment is required in full before dispatch unless a credit agreement is in place.
5.3 Elvara Trading B.V. reserves the right to change prices without prior notice for future orders.
5.4 Late payments may be subject to statutory interest in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

6. Delivery & Risk

6.1 Logistics and shipping are handled via Elvara Trading B.V. or its authorised logistics partners.
6.2 Title and risk pass to the Customer upon delivery.
6.3 Delivery times are estimates only; Elvara Trading B.V. is not liable for delays beyond its reasonable control.

7. Returns & Warranty

7.1 Goods carry a limited commercial warranty of 30–90 days (depending on agreement), covering technical faults only.
7.2 Cosmetic issues (scratches, wear, etc.) are not covered unless they differ from the stated grade.
7.3 Returns must be requested within 7 days of receipt and approved before shipping.
7.4 Faulty items must be returned in the same condition, with IMEI numbers intact and unaltered.

8. Limitation of Liability

8.1 Elvara Trading B.V. shall not be liable for indirect or consequential losses, including loss of profit, resale issues, or business interruption.
8.2 Liability is strictly limited to the purchase price of the Goods.
8.3 Nothing in these Terms limits liability for death or personal injury caused by negligence or for fraud.

9. Data Protection

9.1 Elvara Trading B.V. complies with the UK GDPR and EU GDPR where applicable.
9.2 Customer data is used strictly for order fulfilment, invoicing, and account management.
9.3 All personal data is stored securely and never shared with third parties without consent, except where required by law.

10. Compliance with Laws

10.1 The Customer shall comply with all applicable import/export regulations, environmental regulations (such as WEEE Directive), and anti-money laundering laws.
10.2 All devices are sold in compliance with UK and EU trade regulations, and original ownership is verified prior to resale.

11. Force Majeure

11.1 Elvara Trading B.V. shall not be held liable for failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to natural disasters, transport disruptions, war, or labour disputes.

12. Governing Law and Jurisdiction

12.1 These Terms and the Contract shall be governed by and construed in accordance with the laws of England and Wales.
12.2 Any disputes shall be subject to the exclusive jurisdiction of the English courts.

13. Amendments

13.1 Elvara Trading B.V. reserves the right to amend these Terms at any time. Updated terms will be made available via our website or upon request.
